ComputerLand Franchise Agreement Changes Take Effect January 1

1. MONTHLY ROYALTY DECREASE FROM
0.5% to 0.0% FOR YEAR 2000
Effective January 1, 2000 the Royalty Percentage used to
calculate Monthly Royalty fees due ComputerLand Corporation on the gross
revenue of all ComputerLand Franchises will be reduced from the current rate of
0.5% to 0.0%. That new percentage is applicable to franchise gross revenues
earned on or after the effective date (not before.). Reduction of the Royalty
Percentage to zero does not remove each Franchise's obligation to provide
monthly reporting of its gross revenue.

ComputerLand Corporation is making this annual change
for the year 2000 in accordance with applicable ComputerLand Franchise
Agreement and/or Amendment provisions.
Under those same provisions, it retains the right to make such a change
once annually in any succeeding contract year(s). This royalty reduction notice
does not apply to the 4 - 5 franchisees on the Traditional Royalty Plan.
2. LINE ITEM PRICING ON TIER ONE*
ComputerLand Corporation will implement Line Item
Pricing for all Tier One vendors effective January 1, 2000. Tier One vendors
are Compaq Computer Corporation, Hewlett-Packard, IBM Personal Computer
Company, and Toshiba America Information Systems. Line item pricing or market
pricing is pricing determined by ComputerLand Corporation, at its sole
discretion, based on existing market conditions, and includes a profit
component.
As of this change, ComputerLand Corporation and its
parent company, SYNNEX Information Technologies, Inc. ("SYNNEX"), may
use market (line item) pricing on ALL products purchased by ComputerLand
Franchises, rather than the cost-plus markup pricing previously employed. Line
item pricing on Tier Two manufacturer's products was previously put into effect
January 2, 1998.
*Please note that the purpose of this announcement is to
drop the requirement of the cost plus
mark up pricing structure provided in the ComputerLand Franchise
Agreements. Although ComputerLand Corporation and SYNNEX will apply line item
pricing on all products commencing January 1, 2000; for many products this line
item pricing will be determined by ComputerLand Corporation and SYNNEX by
applying a cost plus mark-up formula.
3. ILS MONTHLY LICENSE FEE
INCREASE
Effective January 1, 2000 the Monthly License Fee
required for each installed ILS location will increase from the current amount
of $500 to $1000 per month. The first
due date for ILS fees at the new rate will be February 1, 2000 for ILS usage
the previous month.
ComputerLand Corporation is making this Monthly ILS
License Fee change for the year 2000 in accordance with applicable ILS
Nonexclusive Software License Agreement provisions. Under those same
provisions, it retains the right to make such a change once annually in any
succeeding agreement year(s). For most ComputerLand franchises a copy of that
license agreement is attached as Exhibit A to their 1995 "Cost Plus"
Franchise Agreement Amendment ("CP Amendment").
All other license agreement provisions remain unchanged.
All other contract provisions remain unchanged. If you have any questions,

At the October 1999
ComputerLand Conference in Palm Springs, CA, we updated you on the progress of
the ecLand.com Reseller Model, and were very pleased to know that the majority

SYNNEX Names Scott Shamlin to Lead
Manufacturing Operations; Announces Vice Presidents of Computer Telephony and
Storage Divisions
FREMONT, CA (September 15, 1999) — SYNNEX Information

announced the addition of several new executives. New on board in Fremont, CA: Scott Shamlin, Sr. Vice President and General Manager of Manufacturing
Operations and David Liscom,

Telephony.
Scott Shamlin reports to Bob Huang, SYNNEX's President and CEO, as the
Sr. Vice President and General Manager of Manufacturing Operations. Shamlin
formerly was Compaq's Vice President of Supply Chain Optimization, spearheading
the Optimized Distribution Model. At Motorola, he led the Technologies Division
with the Panda Project, and held various executive positions. "We are very
pleased to have Scott Shamlin lead our manufacturing division. I believe that
he will be a great asset to that division, considering his 30 years of world
class manufacturing experience and his leadership of Compaq's Alliance partner
program," said Bob Huang.
Andy Heyman, Vice President
of Computer Telephony, will direct efforts to focus on market opportunities for
computer telephony products. Heyman has 13 years experience in sales and
marketing and was the President and founder of Catalyst Telecom, a commercial
distributor of telephony and computer telephony products. He also served as
Vice President of Merchandising at
Gates/Arrow. "Andy Heyman's experience in starting up Catalyst as a
commercial distributor will be very valuable to SYNNEX in focusing on market
opportunities for these emerging technologies," said Bob Huang.
SYNNEX also announced David
Liscom as the new Vice President of Storage
Products in Fremont, CA. Liscom formerly was Director of Sales and Marketing at Samsung's Optical Disk Division, and
brings a wealth of experience with other storage manufacturers including
Fujitsu, Maxtor, TEAC, and JTS. Bob Huang said "Liscom has many long-term
relationships with most of SYNNEX's storage vendors, and his sales experience
with the manufacturers should help us grow our market share and revenue within
this segment of the business."

SYNNEX
Offers Customers Electronic Payment Option
SYNNEX makes automatic draft setup easy; customers can eliminate COD
charges.
FREMONT, CA (September 27, 1999)
- SYNNEX Information Technologies, Inc., a leading distributor of computer
products and peripherals, announced an electronic payment option to simplify
billing for computer sales orders. Customers who choose this automatic payment
option specify an account from which SYNNEX will debit payment five business
days after the sales order invoice date.
SYNNEX's Credit Department is
coordinating the effort. Tom Harbin, Director of Credit - East says, "We
believe that participating in this program is simple and efficient and we
encourage our customers to consider this payment option. This program
especially benefits customers who currently pay COD in two ways: elimination of
the COD charge and the need to prepare a check for the delivery. Also, the
automatic payment clears the invoice faster than a COD payment, thus giving
those customers more buying power."
The entire approval and setup process takes only about two weeks. To set
up this electronic payment option, customers fill out an electronic funds
transfer (EFT) authorization form (printable from the web site), and include a
voided check for the specified bank account. SYNNEX tests the funds transfer
before it goes "live" to ensure everything is working correctly.
Other financing and payment options at SYNNEX include terms account,
pre-payment by cashier's check, company check or wire transfer, credit card,
flooring and leasing. SYNNEX can also arrange alternative financing such as
joint purchase orders, assignment of purchase order, bank letters of credit,
lockbox or escrow arrangements. Prospective customers may go to the SYNNEX web
site and choose "Prospective Customers" to access an online credit
approval form or a printable form to fax.

Many promotions and changes have been announced at SYNNEX/ComputerLand during 2nd and 3rd quarters. To keep you up to date, here is a summary of those changes.
August/September/1999

Jeff Chen joined SYNNEX as Vice President of
Manufacturing and co-leads the Compaq
manufacturing team with Bob Marks, VP of Manufacturing-Compaq. Jeff has 25
years of experience in the PC and electronic products industry. He previously held the positions of Vice
President of Manufacturing at Umax Computer Corporation in Fremont,
Manufacturing Plant Manager at MTI, SBIP in Taiwan, and AVP of Manufacturing,
Material Management with MiTAC.
· C.K. Cheng
was promoted to Sr. Vice President of
Components and Networking Products. C.K. previously was responsible for
product marketing of MiTAC systems, Intel/Microsoft, and component products and
also managed VC investments. Before June 1998, C.K. managed SYNNEX's contract
manufacturing business.
· Dan Feeney
will focus on the Internet business opportunities in our manufacturing
operations as Associate Vice President
of White Box/ISP system products.
· Ryan Hellams is the new Product Manager for Compaq products. This is a much deserved promotion for Ryan who
has shown stellar results in both sales and product management.
· Andy Heyman will direct the start up of a new Computer Telephony
business unit as Vice President of
Emerging Technologies. The focus of the business unit is market
opportunities for computer telephony. With a background of 13 years experience
in sales and marketing, Andy founded Catalyst Telecom, and served as the
company's President. He also previously served as Vice President of Merchandising at Gates/Arrow.
· Tony Huey, Vice President of Finance, resigned from SYNNEX effective 9/9/99.
According to Kevin Chuang, Chief Financial Officer, Tony will help with the
transition as a consultant until a replacement is found, and in the meantime, Gary Gulmon assumes Tony's
responsibilities in the treasury, check processing and finance areas.

Shigeto Ito
was named Director of Corporate Sales,
Japan, reporting to Bob Huang.
Shigeto was a Vice President in charge of new technology products for Akia
Corporation USA, General Manager at Alpha Peripherals (owned by Mitsumi
Electric Corp., Japan) and held various business executive positions at Tandy
Corporation.

Patrick Lee
joined SYNNEX as Director of Business
Strategy, reporting to Bob Huang.
Patrick held a strategic role as a senior regional manager of Business Planning
and Development for American Express in Hong Kong and previously worked for
Pfizer Pharmaceutical in New York as a business analyst. He also held financial
positions with SmithKline Beecham and contract negotiation positions with
Integrated Physician Services.
· David Liscom was hired as SYNNEX's new Vice President of Storage Products. Liscom formerly was the Director of Sales and Marketing at Samsung's
Optical Disk Division and brings a wealth of experience with other storage
manufacturers including Fujitsu, Maxtor, TEAC, and JTS.
· Chris Nordlund joined SYNNEX as Director of Credit-West, reporting to Kevin Chuang, Executive Vice President
and CFO. Chris formerly was with Fujitsu Computer Products of America where he
was the Credit and Collections Manager for eight years, and prior to that, he
was National Credit Manager for Businessland.

Scott Shamlin joins SYNNEX as Sr. VP and GM of Manufacturing Operations and
reports to Bob Huang. With more than
30 years of world class manufacturing experience, Scott is familiar to many
MiTAC and SYNNEX manufacturing personnel. He led Compaq's Alliance partner
program and most recently served as Compaq's Vice President of Supply Chain
Optimization. He also spearheaded the Optimized Distribution Model (also called
BTO/CTO).

Billy DeYoung
was promoted to Supervisor of the East
Coast Components team. Billy has been
with SYNNEX since 1997, doing outstanding work as Sr. Product Champion of
Storage products -- working with vendors, customers and our internal sales
departments.

Steve Jow was
promoted to Associate Vice President of
Sales for the Western US, reporting to Peter Larocque. In the position of
Director of Strategic Accounts, Steve made significant contributions to the
division's growth.
· John
Lighthill joined SYNNEX as Director of Components Sales, reporting
to C.K Cheng and will head this new SYNNEX team. John has extensive sales
experience in semiconductor products, graphic cards and other peripheral
products and was formerly the Director of
Sales at Hercules Computer Technology, Inc.,, responsible for channel
and sales activities in North America
· Steve
Stambaugh was promoted to Director of Strategic Sales (East). Steve brought
a broad base of experience in Sales, Marketing and Merchandising when he joined
SYNNEX in 1996 as Manager of the Midwest VAR team. He was promoted to Sales
Manager of the Strategic East division, which grew tremendously under his
leadership.
· Todd Tanaka was promoted to Director of
Branded/Commercial Products (including VAR West and Computerland West.)
Todd has nine years experience in Marketing and Sales and has two consecutive
"Outstanding Sales Rep of the Year" awards to his credit. Todd and
his team are responsible for record-setting growth in VAR West Sales group and
Todd has successfully handled top accounts.
November, 1999

Peggy Fong
became SYNNEX's Controller,
Manufacturing Operations reporting to Kevin Chuang, Executive VP and Chief
Financial Officer. Peggy will work closely with Scott Shamlin, Sr. Vice President and General Manager of
Manufacturing Operations. Peggy has an
impressive background and previously was the CFO/COO at Hercules Computer
Technology, Inc.

Sandy Salah
came on board as Director of Corporate
Marketing and Investor Relations, reporting to Bob Huang. She will be responsible for corporate marketing, public

Kingston/SYNNEX Internet Referral Partnership Announced

SYNNEX and Kingston have
launched an internet referral initiative.
SYNNEX is the first distributor to be linked with Kingston's web site,
which gets over 1.5 million hits to their site per week.
Reseller customers who
use Kingston's web based memory configuration tool, can select SYNNEX as the
source to purchase the product. These customers will have their web session and
shopping cart transferred seamlessly to ECExpress. Once in ECExpress, they can get real time pricing, real time inventory, and
complete their order. They also have the option of returning to the Kingston
site for "more shopping".
Customers who are not
currently using ECExpress will have
an opportunity to call SYNNEX directly to set up an account and complete their
order.
This project is an
example of SYNNEX's continuing efforts to leverage our superior electronics
services. Our goal is to be able to
package and offer this tool to other vendors for use on their web sites.
On Kingston's home page,
resellers can choose "Memory Configurator" to search for a specific
manufacturer, model and part number. When the configuration data displays,
resellers have the option to click "Online Purchase from Kingston Partners."
From there, click the "Reseller" button to transfer to the SYNNEX ECExpress ordering system. Steps are listed below:

The Y2K update was one of the hottest topics at the National Conference, and rightly so – time is growing short! Please review the information now to be sure your ILS application is Y2K-compliant.

Both versions were tested in the SYNNEX company-wide Y2K compliance audit. At the NAC's suggestion, Curt Jacobson's staff (ComputerLand-Western MT) will re-test the applications. Results will be published no later than the first week of December. This second audit by a Franchisee, with a true Franchisee perspective, should provide a higher level of confidence in Y2K compliance.
Addressing ILS2000 Version 1.0 Performance Problems
Over the last several weeks, those of you making the brave attempt to use ILS2000 Version 1.0 have met with a variety of performance problems ranging from no ability to connect to the ILS2000 application server at SYNNEX to extreme slowness and ultimately a time-out in the SDE, PRODCAT process.
Most of these issues are related to SYNNEX changing its ISP, and therefore its IP addressing, and a failed attempt to simultaneously implement DNS address resolution for SDE. There were unusually long delays in getting the new domain/address data propagated across the Internet to all local ISPs -- causing connect failures until direct IP routing was restored.
We believe these problems are resolved -- the Version 1.0 connection should be viable at all locations. However, we admit that Version 1.0 has significant performance issues related to design, but are determined that these be resolved in Version 1.1. Please try to not let negative experiences with 1.0 deter you from adopting Version 1.1.
At the National Conference we gave an estimated release date of November 17, for ILS2000, Version 1.1. Excellent progress is being made, but extensive re-programming was required to meet the performance and effective functionality objectives. Also, because of extensive changes to the structure of several key databases, we can't release the new version "piece-meal," (for example, the new SDE, then the other modules.)
Therefore, the new target release date for ILS2000 Version 1.1 is Wednesday, December 1, 1999. Please alert your ILS administrator to watch for an email update with more specific functionality details on Tuesday, November 23.
Key benefits to implementing Version 1.1 with its SDE module based on final specifications are:
Ø Faster product data and document query/retrieve/save operations (speeds comparable to browser-based EC applications like EC Express)
Ø Faster Local ILS2000 database maintenance processes that are more accurate than CCP counterparts, improved "Inventory Search" capability with "live" SYNNEX, OneSource pricing and availability data via Internet IP connection
Ø SYNNEX, OneSource pricing data (PRODCAT) is updated at each “live” pull
Ø Source supplier can be designated by line item in a sales quote, and the information can be utilized in both "add item to inventory" (at "convert to sales order") and "suggested buy" (allocation engine) functions
Ø Real-time upload of Purchase Orders for SYNNEX, OneSource
Ø Real-time PO Status for SYNNEX, OneSource
Ø Installation and end-user documentation for new functions
Ø Restored ability to perform "convert to sales order" and "activate suggested buys" processes on "classic"- created transactions
Ø NEW -- ability to run in "local" mode using local file data instead of "live" with new ILS2000 modules.
One of the most significant changes to this ILS2000 version is a complete overhaul of the old SNPN-driven product data model in ILS "classic." It is not possible to stop using the SNPN structure because of its pervasive use in all ILS functionality, but it is necessary to "normalize" it to SYNNEX and OneSource parts data in a new archival and distribution system. This change involves some data loss versus what was previously maintained in ILS files, but results in vastly improved accuracy and maintenance performance – two key objectives.
Below is a summary of the overall data model and the key changes to the three ILS "inventory/supplier catalog" data sets.
Ø KEY PARAMETER: Product pricing is set by a pre-selected "supplier" in document detail lines (Quote, SO, PO), not in the local "inventory" files; only the SYNNEX data in the local PRODCAT.dbf is maintained by ILS2000 processes -- any other product data maintenance must be done manually by a local user, manually, or by a third-party process
Ø The new central (at SYNNEX) MASTER SNPN archives – with duplicates and other bad data (caused by previous process errors) purged
Archive characteristics:
- Contain only SYNNEX, OneSource parts, not third-party supplier parts
- No old data for SNPN #10000 – 299999 or #600000 ("reclaimed" for future use)
Ø New central (at SYNNEX) MASTER SYNNEX (and OneSource) Parts archive -- "normalized" to the MASTER SNPN data through a single, seamless process to ensure data integrity
Archive characteristics:
- All data sourced directly from SYNNEX backend
- The source of all SDE update data
- Cross-reference to all OneSource third party supplier parts while ACTIVE only (no archive of any parts but SYNNEX)
- Employs changed date functionality to allow "change only" data feeds for local maintenance
Ø SDE, PRODCAT process -- to be scheduled and run DAILY on the local ILS2000 system --
provides "change only" (add/edit/delete) updates for that local ILS2000 database
- No update of either SNPN or local inventory files data
- No availability data, only available "live"
- May pull multiple days' data but there is a maximum record limit which necessitates a week-end process (see below for details)
- Secondary source of local SYNN pricing (supplier cost) updates (PRODCAT), "live" is primary
Ø SDE, SYNNPART refresh processes -- to be scheduled and run each week-end or "on demand" on the local ILS2000 system -- for "active" product data in all three local ILS "inventory" databases from an FTP download file
- Parts data only, no pricing or availability
- Adds OneSource third party parts to SNPN for "active" SYNNEX SKUs
- Same for local inventory cross-references
- Conforms to "Local Inventory Update Parameters" in "classic" System Management
Ø As needed NEWSNPN process (Clipper utility, not in ILS) and a data file (from FTP download). Re-create "normalized" local SNPN archival databases (for disaster recovery, "discontinued" maintenance)
Note: These processes do not interfere with locally maintained data in either SNPN or local inventory files as determined by presence of either an 8xxxxx, 9xxxxx SNPN# or SUPPLIER COST > zero.
Local Inventory/Availability Data
Ø All existing parts with SNPN #10000-299999 or 600000-799999 converted to 9xxxxx for local maintenance only (reclaimed for assignment to new items in the future)
Ø "PRIMARY" Vendor data fields blank except Cost=$0.00, not per SNPN and “Primary Vendor Order" in System Management – unless maintained by third-party process or manually
Ø "SYNN" cross-reference SUPPLIER COST=$0.00, unless maintained by third-party process or manually
Ø Third party cross-reference SUPPLIER COST=$0.00, unless maintained by third-party process or manually
Ø All new updates conform to "Local Inventory Update Parameters" in "classic" System Management,
including a new one to designate ILS maintained suppliers, i.e. bypass if maintaining manually or with a third-party process
