ComputerLand Franchise Agreement Changes Take Effect January 1

by Tim Rush, Vice President of Operations, ecLand.com General Manager

1.  MONTHLY ROYALTY DECREASE FROM 0.5% to 0.0% FOR YEAR 2000

Effective January 1, 2000 the Royalty Percentage used to calculate Monthly Royalty fees due ComputerLand Corporation on the gross revenue of all ComputerLand Franchises will be reduced from the current rate of 0.5% to 0.0%. That new percentage is applicable to franchise gross revenues earned on or after the effective date (not before.). Reduction of the Royalty Percentage to zero does not remove each Franchise's obligation to provide monthly reporting of its gross revenue.

Please continue emailing the reports to rreport@synnex.com or mail them to:

ComputerLand Corporation, a SYNNEX Information Technologies Company

3797 Spinnaker Ct.

Fremont, CA  94538

ATTN:  Royalty Accounting

ComputerLand Corporation is making this annual change for the year 2000 in accordance with applicable ComputerLand Franchise Agreement and/or Amendment provisions.  Under those same provisions, it retains the right to make such a change once annually in any succeeding contract year(s). This royalty reduction notice does not apply to the 4 - 5 franchisees on the Traditional Royalty Plan.

2.  LINE ITEM PRICING ON TIER ONE*

ComputerLand Corporation will implement Line Item Pricing for all Tier One vendors effective January 1, 2000. Tier One vendors are Compaq Computer Corporation, Hewlett-Packard, IBM Personal Computer Company, and Toshiba America Information Systems. Line item pricing or market pricing is pricing determined by ComputerLand Corporation, at its sole discretion, based on existing market conditions, and includes a profit component.

As of this change, ComputerLand Corporation and its parent company, SYNNEX Information Technologies, Inc. ("SYNNEX"), may use market (line item) pricing on ALL products purchased by ComputerLand Franchises, rather than the cost-plus markup pricing previously employed. Line item pricing on Tier Two manufacturer's products was previously put into effect January 2, 1998.

*Please note that the purpose of this announcement is to drop the requirement of the cost plus mark up pricing structure provided in the ComputerLand Franchise Agreements. Although ComputerLand Corporation and SYNNEX will apply line item pricing on all products commencing January 1, 2000; for many products this line item pricing will be determined by ComputerLand Corporation and SYNNEX by applying a cost plus mark-up formula.

3.  ILS MONTHLY LICENSE FEE INCREASE

Effective January 1, 2000 the Monthly License Fee required for each installed ILS location will increase from the current amount of $500 to $1000 per month.  The first due date for ILS fees at the new rate will be February 1, 2000 for ILS usage the previous month.

ComputerLand Corporation is making this Monthly ILS License Fee change for the year 2000 in accordance with applicable ILS Nonexclusive Software License Agreement provisions. Under those same provisions, it retains the right to make such a change once annually in any succeeding agreement year(s). For most ComputerLand franchises a copy of that license agreement is attached as Exhibit A to their 1995 "Cost Plus" Franchise Agreement Amendment ("CP Amendment").

All other license agreement provisions remain unchanged. All other contract provisions remain unchanged. If you have any questions, please do not hesitate to contact Tim Rush at tim.rush@computerland.com, Larry Davis at larry.davis@computerland.com or your inside sales representative at (888) 888-3002.

ecLand.com Reseller Model

………………………………………………………………………………………………

by Tim Rush, ecLand.com General Manager

At the October 1999 ComputerLand Conference in Palm Springs, CA, we updated you on the progress of the ecLand.com Reseller Model, and were very pleased to know that the majority of you are very interested in the model.

At that time, we promised to deliver the Reseller Model on October 25th.  Although that date has come and gone, we have begun our beta testing today and anticipate to have the site fully functional no later than the last week of November, if not sooner.

Key Features

One of the key features that forced us to delay the launch of the Reseller Model is your ability to review orders placed by your customers, and release them using one of three payment methods: flooring, net terms, or credit card.  We anticipate that this feature will be fully operational by our new promised date.

Other key features of ecLand.com:

One Source industry view of product pricing and availability. One Source partners include: Ingram Micro, Tech Data, Merisel, Inacom, and Pinacor.

Product catalogs with more than 100,000 IT products searchable by categories, manufacturer, price range, etc.

Online system configurator for IBM, HP, and white box computers.

Online order placement, order status, tracking information, and history

        Customer specific pricing grids

        And more…

Extended Data

After the Conference meeting in Palm Springs, we signed a contract agreement with PCOrder to receive extended product attribute data. The extended data includes technical specifications, product images, marketing text, and product glossaries. We are adding this new feature to our system, and expect to release it at a later date.

ComputerLand Owner’s Exchange – Up and Running!!

………………………………………………………………………………………………

by Larry Davis, Manager, ComputerLand Franchising

Now available for ComputerLand franchisees – as promised by Kevin Lemke (ComputerLand – Grand Forks, ND) – a web-based ComputerLand Owner's Exchange! Kevin took on this task in response to the need for an easy to use online discussion site.

Several Discussion Forums are already in progress:

       ILS or a replacement

       TGI format and content suggestions

National Conference format and content suggestions

To read messages and join in a discussion forum, go to http://www.clgf.com/Forums/Index.cfm?CFApp=7

You do not need a login or password at this time. For instructions, see the user's guide online and be sure to bookmark the location in your Internet browser for return visits.

Bruce Cable, owner of ComputerLand - Dallas/Wichita Falls, TX and first to start a forum thread, comments:

"Kevin - Thanks for the new forum.  I think this (discussion forum) is a great idea!" Other first time users echo the same sentiments!  Many thanks to Kevin for his efforts, once again showing the power of the ComputerLand network to provide benefits for all!

Contact Kevin directly with any questions, ideas for improvement, or other suggestions at:

(701) 787-6328 before 12:00 CT

(701) 772-0355 after 12:00 CT

or Fax: (701) 772-3543

klemke@corpcomm.net

or, better yet, post a message to the "Suggestions for New Forums" on the Owner's Exchange.

Now the question is — What to do with the email Owner’s Exchange?  Give us Feedback.

There are two open issues:

1.        Should we keep the email Owner's Exchange along with the "online Owner's Exchange?

2.        If "YES", should its ISSUE messages be posted to a Discussion Forum as well as being forwarded via email.  All REPLY messages would still only be forwarded via email, so you could really have "either/or" options for interacting with fellow owners.

We Need YourFeedback

If you DO WANT to keep the email Owner's Exchange, send an email to the Owners' email Exchange. Indicate whether you want ISSUE messages posted to a Discussion Forum.  It will take a positive vote by a majority of email Exchange participants for either of these actions to be taken.

SYNNEX Offers Customers Electronic Payment Option

SYNNEX makes automatic draft setup easy; customers can eliminate COD charges.

FREMONT, CA (September 27, 1999) - SYNNEX Information Technologies, Inc., a leading distributor of computer products and peripherals, announced an electronic payment option to simplify billing for computer sales orders. Customers who choose this automatic payment option specify an account from which SYNNEX will debit payment five business days after the sales order invoice date.

SYNNEX's Credit Department is coordinating the effort. Tom Harbin, Director of Credit - East says, "We believe that participating in this program is simple and efficient and we encourage our customers to consider this payment option. This program especially benefits customers who currently pay COD in two ways: elimination of the COD charge and the need to prepare a check for the delivery. Also, the automatic payment clears the invoice faster than a COD payment, thus giving those customers more buying power."

The entire approval and setup process takes only about two weeks. To set up this electronic payment option, customers fill out an electronic funds transfer (EFT) authorization form (printable from the web site), and include a voided check for the specified bank account. SYNNEX tests the funds transfer before it goes "live" to ensure everything is working correctly.

Other financing and payment options at SYNNEX include terms account, pre-payment by cashier's check, company check or wire transfer, credit card, flooring and leasing. SYNNEX can also arrange alternative financing such as joint purchase orders, assignment of purchase order, bank letters of credit, lockbox or escrow arrangements. Prospective customers may go to the SYNNEX web site and choose "Prospective Customers" to access an online credit approval form or a printable form to fax.

SYNNEX Steps Up Manufacturing Focus; Designated Sales Division Focuses on Manufacturing Offerings

Business Strategy Follows Manufacturing Outsourcing Trends

FREMONT, CA  -- (October 29, 1999) -- SYNNEX Information Technologies, Inc., a leading contract manufacturer and distributor of computer products and peripherals, announced a new sales division to further promote and extend SYNNEX's manufacturing offerings: channel assembly for Hewlett-Packard and IBM; contract manufacturing for leading server and storage solutions companies; and white boxes. Leveraging SYNNEX’s direct vendor relationships and logistics strength, the sales teams will actively pursue new business in these areas.

Heading the new division is Steve Ichinaga, Vice President of U. S. Sales for Manufacturing and Logistics and a 16-year sales and management veteran at SYNNEX. "Steve Ichinaga has an impeccable professional record and is highly regarded at SYNNEX and within our customer base. In his new role, Steve will manage business teams on both coasts," says Bob Huang, President and CEO of SYNNEX Information Technologies, Inc.

“Today, SYNNEX has a very solid reputation building PCs, workstations, and servers for some of the largest names in the industry. We will use the expertise and infrastructure we've developed for our biggest customers as we extend offerings to a wider breadth of clients,” says Steve Ichinaga.

Extended Channel Assembly Opportunities

In Channel Assembly Sales, the sales team will showcase SYNNEX's proven track record in channel assembly to recruit new customers and facilitate business opportunities. SYNNEX is currently ranked #1 for build quality among all Channel Assembly partners for both HP and IBM. Supporting this effort is SYNNEX's newest (fourth) US manufacturing facility, located in Fremont. With the addition of the Fremont facility, SYNNEX doubled its current Channel Assembly capacity.

High Value-Added Products

SYNNEX plans to be proactive in tapping into the growing manufacturing outsourcing trend. The second group, High Value-Added Product (HVAP) Sales, will pursue business with leading server and storage solutions companies. “Unlike other contract manufacturers, SYNNEX has direct relationships with partners such as Intel, Seagate, Western Digital, Quantum and other peripheral vendors. These relationships and our distribution channel allow SYNNEX to take a more aggressive inventory position and permit greater flexibility and a faster product ramp up,” says Steve Ichinaga. “In addition, our distribution business allows SYNNEX to seamlessly ship our customers' product directly to the end user.”

White Box

The third sales group will focus on expanding SYNNEX’s existing white box business. "Our logistics experience as a distributor is widely-known. What is less widely publicized today is our world class manufacturing operations and our electronic expertise. These core competencies combine to form a very powerful and unique solution for anyone who requires manufacturing and logistic solutions,” said Steve Ichinaga.

By Bob Evans, Product Manager, ComputerLand

SYNNEX and Kingston have launched an internet referral initiative.  SYNNEX is the first distributor to be linked with Kingston's web site, which gets over 1.5 million hits to their site per week.

Reseller customers who use Kingston's web based memory configuration tool, can select SYNNEX as the source to purchase the product.
